Requirements and rules

Sharemark is classified by the Financial Services Authority as a Multilateral Trading Facility and this means that companies using the market have to meet certain requirements and adhere to our Code of Practice.

Key requirements for primary fundraising companies:
  • Adherence to a defined set of investment principles;
  • Collaboration with a fundraising ‘Sponsor’;
  • Capital raising up to the limits of the new Prospectus Directive limit.
Key requirements for secondary market companies:
  • Sufficient securities in public hands;
  • Proper regard for corporate governance;
  • Compliant with continuing obligations of the market.
